1. About these terms
These terms and conditions ("Terms") govern your access to and use of Helium22 Portal Apps/Services (the "Portal") operated by Helium22 Portal Apps/Services ("we", "us", "our"). By accessing the Portal, registering an account, or using any tool listed on it, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Portal.
If you use the Portal on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms, and "you" means that organisation.
2. The service we provide
The Portal is a directory that gives access to software tools and utilities. Some of these are provided by us; others are operated by third parties and are reached by following a link. We make the Portal and the tools listed on it available free of charge, for your own lawful business or personal use.
We may add, change, suspend or remove any tool, category or feature at any time, without notice and without liability to you. Nothing on the Portal is an offer, a commitment to provide a service, or professional advice of any kind.
3. Your account
- You must provide accurate information when registering and keep it up to date.
- You are responsible for keeping your password and recovery key confidential, and for all activity that takes place under your account.
- Accounts are personal to you. You must not share, sell or transfer your account or allow anyone else to use it.
- You must tell us promptly at support@helium22.com if you believe your account has been compromised.
4. Permitted use
You may use the Portal and the tools listed on it for lawful purposes only, and in accordance with our Acceptable Use & Privacy Policy, which forms part of these Terms. In particular you must not misuse the Portal, interfere with its operation or security, attempt to gain unauthorised access to it, or use it in any way that harms us, other users, or any third party.
We may investigate any suspected misuse and may suspend or terminate your access immediately, without notice and at our sole discretion, where we reasonably believe these Terms or the Acceptable Use Policy have been breached.
5. Third-party tools and links
Where the Portal links to a tool, website or service operated by someone else, that link is provided for convenience only. We do not control, endorse, monitor or accept responsibility for third-party content, tools, or services, or for their availability, accuracy, security or legality. Your use of a third-party tool is entirely at your own risk and is governed by that third party's own terms and privacy policy, which you should read before using it.
6. Intellectual property
All intellectual property rights in the Portal, including its design, text, graphics, logos and software, belong to us or our licensors. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Portal for the purposes described in these Terms. You must not copy, modify, reproduce, republish, reverse engineer, decompile, scrape, or create derivative works from any part of the Portal, except to the extent that applicable law expressly permits it.
7. Availability — no guarantee
We do not guarantee that the Portal or any tool will be available, uninterrupted, timely, secure or error free. Access may be suspended, restricted or withdrawn at any time for maintenance, security, operational or commercial reasons. You are responsible for making your own backups of anything important to you, and for ensuring that your own equipment and software are suitable and protected.
8. Disclaimer of warranties
The Portal and all tools are provided "as is" and "as available". To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms, whether express or implied by statute, common law or otherwise, including any implied terms as to satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.
Any output produced by a tool is provided for information only. You are responsible for checking that it is suitable, accurate and lawful for your intended purpose before relying on it.
9. Limitation of liability
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be limited or excluded.
Subject to that, and to the fullest extent permitted by law:
- we will not be liable for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss or corruption of data, business interruption, or for any indirect or consequential loss, however arising and whether or not foreseeable;
- we will not be liable for any loss or damage arising from your use of, or inability to use, any third-party tool or website reached through the Portal;
- our total aggregate liability to you in connection with the Portal, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to £100 (one hundred pounds), reflecting the fact that the Portal is provided free of charge.
The Portal is provided for business and general use. We accept no liability for losses arising from your use of it for any purpose where a failure could cause death, personal injury, or significant financial, environmental or reputational harm.
10. Indemnity
You agree to indemnify us and hold us harmless against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Portal or any tool, or your infringement of the rights of any third party.
11. Suspension and termination
We may suspend, restrict or permanently close your account, or block access from a particular IP address or network, at any time and without notice, where we reasonably consider it necessary to protect the Portal, our business, or other users. You may close your account at any time by contacting us.
12. Changes to these terms
We may amend these Terms from time to time. The version published on this page is the version that applies. Your continued use of the Portal after a change takes effect means you accept the amended Terms, so please check this page periodically.
13. General
- If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- A failure or delay by us in enforcing any right is not a waiver of that right.
- These Terms do not create any partnership, agency or employment relationship between us.
- No one other than you and us has any right to enforce these Terms.
14. Governing law
These Terms, their subject matter and their formation are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute or claim arising out of or in connection with them.
